These Terms of Service govern your use of BrainSpace, the iOS app published by 3rd Brain, Inc. By downloading or using BrainSpace, you agree to these terms. If you do not agree, please do not use the app.
About BrainSpace
BrainSpace is a personal productivity app for iOS that helps you organize tasks, notes, calendar events, and life areas called Spaces, with an on-device AI assistant named Bo the Brain. BrainSpace is published by 3rd Brain, Inc. Contact us at ax@3rd-brain.com.
Eligibility
You must be at least 13 years old to use BrainSpace. By using the app you represent that you meet this requirement. If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these terms on your behalf.
Your Account and Apple ID
BrainSpace does not have its own account system. Your identity within the app is tied to your Apple ID and iCloud account. You are responsible for maintaining the security of your Apple ID. 3rd Brain, Inc. is not responsible for any loss or damage arising from your failure to keep your Apple ID secure.
License
Subject to your compliance with these terms, 3rd Brain, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download and use BrainSpace on Apple devices you own or control, for your personal, non-commercial use. This license does not include the right to sublicense, sell, resell, transfer, modify, or create derivative works of BrainSpace.
Subscriptions and Billing
Free Tier
BrainSpace is free to download and includes a free tier that allows up to five Spaces and one Flow session. No payment information is required to use the free tier.
BrainSpace Premium
BrainSpace Premium is available for $7.99 per month or $79.99 per year (prices may vary by region and are subject to change). Premium unlocks unlimited Spaces, unlimited Flows, and additional features as they become available.
Billing and Renewal
All purchases are processed by Apple through the App Store. Your subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the renewal date. Your Apple ID account will be charged at confirmation of purchase and upon each renewal. 3rd Brain, Inc. never sees your payment details.
Cancellation and Refunds
You can cancel your subscription at any time in your iPhone's Settings under Subscriptions. Cancellation takes effect at the end of the current billing period; you retain access to Premium features until then. Refunds are handled by Apple in accordance with their App Store refund policies. 3rd Brain, Inc. does not issue refunds directly.
Free Trials
If a free trial is offered, it begins on the date you subscribe. You will not be charged during the free trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the then-current price.
Your Content
BrainSpace allows you to create notes, tasks, and other personal content ("Your Content"). You retain all ownership rights to Your Content. By using BrainSpace, you grant 3rd Brain, Inc. no rights to Your Content whatsoever — your data stays in your iCloud account and on your device, and we cannot access it.
You are solely responsible for Your Content, including ensuring that it does not violate any laws or the rights of any third party.
Acceptable Use
You agree not to use BrainSpace to:
- Violate any applicable law or regulation.
- Infringe the intellectual property rights of any third party.
- Harass, threaten, or harm any person.
- Attempt to gain unauthorized access to any system, network, or data.
- Reverse engineer, decompile, or disassemble BrainSpace.
- Use BrainSpace in any manner that could damage, disable, or impair the app or interfere with other users' use of shared features.
Shared Spaces
BrainSpace allows you to invite other users to collaborate in shared Spaces. When you share a Space, you grant collaborators access to the content within that Space. You are responsible for who you invite. 3rd Brain, Inc. is not responsible for disputes between collaborators or for content created by other users in a shared Space.
You can stop sharing a Space at any time from within the app. Doing so revokes collaborators' access to that Space going forward.
Apple Integration
BrainSpace integrates with Apple Calendar, Apple Reminders, Apple Contacts, and iCloud Drive. Your use of these Apple services is governed by Apple's terms and policies. 3rd Brain, Inc. is not responsible for the availability or behavior of Apple's services.
Intellectual Property
BrainSpace, its design, code, trademarks, and all related materials are the property of 3rd Brain, Inc. and are protected by intellectual property laws. Nothing in these terms transfers any intellectual property rights to you beyond the limited license described above. "BrainSpace" and "Bo the Brain" are trademarks of 3rd Brain, Inc.
Disclaimers
BrainSpace is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. 3rd Brain, Inc. does not warrant that BrainSpace will be uninterrupted, error-free, or free of harmful components.
BrainSpace is a productivity tool, not a substitute for professional advice. Do not rely on BrainSpace for medical, legal, financial, or other professional decisions.
Limitation of Liability
To the maximum extent permitted by applicable law, 3rd Brain, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use BrainSpace, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from these terms or your use of BrainSpace will not exceed the amount you paid to 3rd Brain, Inc. in the twelve months preceding the claim, or $10 USD, whichever is greater.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify and hold harmless 3rd Brain, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of BrainSpace, Your Content, or your violation of these terms.
Termination
You may stop using BrainSpace at any time by deleting the app from your device. 3rd Brain, Inc. may suspend or terminate your access to BrainSpace if you violate these terms, with or without notice. Upon termination, the license granted to you ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.
Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these terms will be resolved in the courts of the State of Delaware, and you consent to personal jurisdiction in those courts.
Changes to These Terms
We may update these terms as BrainSpace evolves. When we make material changes, we will update the effective date and, for significant changes, notify users within the app. Continued use of BrainSpace after an update constitutes acceptance of the revised terms.
